Terms of Use and Privacy Policy

Valory AG (a public limited company (specifically an Aktiengesellschaft) located at Gubelstrasse 12, 6300 Zug, Switzerland, "Valory" as defined at https://valory.xyz/terms, herein: the "Valory Terms") develops and provides tools built on emerging technologies, including the Pearl Mini browser extension ("Pearl Mini" or the "Extension"). By downloading, installing, or using the Extension, You ("You", "your", "the user", or "the users" refers to any individual or entity that downloads, installs, accesses, or uses the Extension) acknowledge and agree to be bound by these Pearl Mini Terms and the Valory Terms, all collectively the "Conditions". If You do not agree to these Conditions, You must not download, install, or use the Extension. You also acknowledge the terms and privacy policies of third-party services integrated with the Extension (the "Third-Party Integrations"), including but not limited to Privy, and underlying market protocols (Polymarket).

In the event of any conflict, inconsistency, or ambiguity, the following order of precedence shall apply: 1) Valory Terms; 2) these Pearl Mini Terms; and 3) any terms and privacy policies of Third-Party Integrations. Nothing in these Pearl Mini Terms shall be construed to waive, limit, or supersede any rights, remedies, or limitations of liability that Valory (or any legal entities that control, are controlled by, or are under control with Valory, herein: "Affiliates") retain under the Valory Terms. Valory's inclusion of or integration with any Third-Party Integrations does not imply any assumption of liability for such third-party services. You acknowledge that Valory has no control over, and no duty to take any action regarding, the acts or omissions of Third-Party Integrations.

The Extension, together with Pearl Application, Pearl Site, the brands "Pearl" or "Olas Pearl" and associated "Marks" (trademarks, service marks, logos, and brand identifiers) are part of Valory's "Offerings" (as defined in Sections 1.3 and 2 of the Valory Terms) and are governed by the Valory Terms. All trademarks, logos, and branding associated with Pearl Mini Extension are owned or licensed by Valory.

GOOGLE LIMITED USE DISCLOSURE:The Extension's use of information/data received from Google APIs will adhere to the Chrome Web Store User Data Policy, including the Limited Use requirements. Data is processed strictly to provide the Extensions' primary user-facing features. Valory adheres to the Google Chrome Web Store Limited Use Policy; your data is never sold, used for advertising, or used to determine creditworthiness. For more information on data processing, please check Section 6 below.

Pearl Mini is a productivity tool for prediction markets. It is a Chrome extension, specifically a non-custodial informational interface that provides AI insights for prediction markets and simplifies transaction execution.

Pearl Mini serves as a single-purpose technical interface. Users can access AI-generated analysis of prediction market data and initiate user-directed transactions on Polymarket. The extension does not custody assets, provide financial advice, or host gambling activities; it functions as a productivity tool to streamline complex blockchain interactions for existing users of decentralized protocols.

Pearl Mini allows users to get AI-Generated Insights (see the definition and more information in Section 4 below) and initiate trades on Polymarket without needing to manage gas tokens or complex blockchain interactions. The user can review the AI-Generated insights and then make an independent decision on how to trade; the Extension serves as a non-personalized technical and informational interface to facilitate user-directed trading.

The Extension uses AI Agent functionality, in order to simplify the initiation of AI Generated Insights and trades on Polymarket, specifically creating an Agent per user ("the Agent"). The user is the sole owner and operator of their Agent and their Agent acts as the user's agent, not Valory's agent. Valory does not operate, control, or maintain the Agent once deployed by the user. Valory provides the code and interface solely as a non-custodial tool, and does so without assuming any fiduciary duty, advisory role, or broker-dealer obligations to You. You assume full responsibility for any actions taken by the Agent, including those resulting from bugs, errors, or vulnerabilities in the underlying code or Agent's logic. When You fund the Agent, You are explicitly opting into its setup and transactions including automated deployment of the Agent and the necessary technical infrastructure, and the creation of a secure multisignature wallet, and other environment configurations, enabling the Agent to initiate trades for You on Polymarket when directed to do so by You. Furthermore, You acknowledge that Polymarket ties off-chain trading rights to a specific signer identity. If your signer key is lost or compromised, your ability to trade via the Agent may be permanently disabled. While your funds may remain secure and recoverable within your Safe smart account, restarting trading activity may require the creation of a new Safe and a new Agent.

In order to simplify the initiation of AI Generated Insights and initiating trades, the Agent executes "Delegated Actions" (as defined below) based on disclosed logic and does not tailor strategies based on the user's personal financial circumstances. While the Extension simplifies paying network fees using your own tokens, Valory may (but has no obligation to) cover the technical cost of your first free prediction or the Agent's background operations and only if thus indicated in the Extension. Any such offer is simply to allow You to try the related functionality and is not an incentive for any further actions. Valory does not provide, facilitate, or encourage gambling. AI-Generated Insights are for informational purposes only. Valory does not guarantee the accuracy, completeness, or timelines of any AI-Generated Insights, which may be subject to hallucinations, technical errors, or delays in blockchain data indexing.

The Extension's functionality may interact with Third-Party Integrations; any such interactions occur under their respective terms and conditions and are initiated, configured, and controlled by the user and at the user's sole direction and risk. Certain Extension's functionalities may depend on external infrastructure, including Third-Party Integrations' APIs, developer accounts, or credit-based services. Users are solely responsible for independently registering for, maintaining, funding, and complying with the terms of such Third-Party Integrations offered by independent external entities that own, operate, or supply them (each a "Third-Party Service Provider"). Valory does not provide, resell, bundle, monitor, or guarantee access to any such APIs or credit-based services. The Extension is an independent interface and remains distinct from Third-Party Integrations and third parties' intellectual property.

Nature of relationship: Your use of the Extension involves multiple distinct relationships with Valory (i) as a software developer providing the Extension interface to You free of charge; and (ii) as a service provider where You elect to purchase AI-Generated Insights for a fee via the Machine Payment Protocol (MPP). These roles are legally distinct; the provision of neither role constitutes a provision of financial, advisory, or custodial services.

⚠️ Warning: The Conditions explain some of the risks involved in using Offerings like this Extension, which are based on emerging technologies (such as blockchain). Nothing in the Extension (including any static UI text, onboarding tooltips, or buttons) or related materials constitutes investment advice, a financial promotion, or an offer to manage assets. The Extension and any functionality within the Extension may not behave as expected, may fail, or may underperform. You acknowledge that the Extension relies on experimental AI and blockchain technology, and You accept the risk of the Agent executing trades based on incorrect or stale AI analysis.

You remain solely responsible for your financial decisions and blockchain transactions, and for understanding any legal, tax, or regulatory obligations that may apply. Valory does not provide legal, tax, financial, or trading advice nor does it assess user suitability, appropriateness, or risk tolerance. By using the Extension, You acknowledge that access to any and all functionality may be restricted based on jurisdiction, residency, sanctions, or eligibility requirements imposed by Valory and/or third parties. In particular, Valory may restrict your use of the Extension based on IP-address checks. Valory reserves the right to use geofencing to enforce restrictions on the use of the Extension. You warrant that You are not using technical workarounds (such as VPNs) to access the Extension or operate the Agent from restricted jurisdictions. Any attempt to access or use the Extension from a restricted jurisdiction or circumvent these restrictions via any technical workaround (VPN, proxy, or other) is a material breach of these Terms and may result in the immediate termination of your access without notice.

To facilitate a simplified user experience, the Extension utilizes "Delegated Actions" (as defined below). By initiating a prediction or trade, You acknowledge and agree that You are providing an explicit, affirmative consent (opt-in) for that action and its required underlying transaction sequence, and not a one-time consent for all future unrelated transactions. By instructing each prediction and trade individually you are consenting to and accepting the risks of the related prediction or trade (which includes consent to its bundled sequence of necessary actions and transactions). These "Delegated Actions" include, but are not limited to, any and all off-chain and on-chain operations necessary to fund the Agent, manage digital assets, bridge funds across networks, and initiate specific trades or predictions that You select, or other user-initiated interactions. You acknowledge that "Delegated Actions" carry inherent risks of automation, and Valory is not responsible for any unintended transactions executed by the Agent's logic.

Any reference to "one-click trading" within the Extension's user interface, marketing materials, or onboarding flow, refer to the simplified user experience facilitated by the Agent's automated transaction bundling. The "one-click trading" feature is a front-end simplification that triggers a pre-defined sequence of user-authorized smart contract calls. The user acknowledges that the use of this phrase is descriptive and does not negate, diminish, or alert the fact that one interaction with the UI may result in multiple on-chain events.

Prediction markets involve high-risk transactions. By proceeding, You acknowledge the risk of total loss of funds. By using the Extension you are accepting these Pearl Mini Terms. You assume all risks associated with the autonomous execution of Delegated Actions. If You do not wish to grant this authority, You must not use the Extension. Valory, nor does the Extension, provide, promise or facilitate guaranteed returns, passive income, or fixed profit, and Valory never takes custody of any assets.

The Extension provides "AI-Generated Insights" (informational predictions produced by the Extension's artificial intelligence through computational analysis), specifically through three distinct tiers of AI-Generated Insights: 'Quick', 'Deep', and 'Super' analysis. Each mode represents a different level of computational intensity, utilizing varying processes such as data searching, multi-step reasoning and probability analysis.

The AI-Generated Insights and the associated "Confidence Scores" (defined as the statistical outputs, probabilities, and confidence metrics associated with AI-Generated Insights, which are produced entirely through automated processing without human review) are purely statistical outputs. There is no "human-in-the-loop" reviewing these outputs. The AI-Generated Insights and the Confidence Scores are not guarantees of market outcomes nor recommendations, and should be treated as experimental data points rather than financial advice of factual certainty.

AI-Generated Insights are performed by the Agent's logic and require funds, the payment of which is facilitated via the "Machine Payment Protocol" ("MPP", specialized payment layer that allows autonomous agents to manage and redeem payment vouchers). You acknowledge and agree that once an analysis is initiated, the required payment is allocated to cover any of the Agent's computational effort. In the event that a prediction fails for any reason, including due to market volatility or technical error, the fee associated with that specific prediction request remains non-refundable and is allocated in whole or in part by the Agent for any resources utilized during the attempt, except where such failure is caused by the gross negligence of Valory AG. By initiating a prediction, You acknowledge that You are consuming a digital service immediately upon request, and thereby explicitly waive any statutory right of withdrawal or refund under Swiss, EU, or other applicable consumer laws. Furthermore, You acknowledge that MPP payments are exclusive of any applicable taxes (such as VAT), and You are responsible for any applicable tax reporting or reverse charge obligations.

By clicking the "Generate Prediction" button in the Extension, for the first time, You provide explicit consent to the Extension to create a user-specific smart contract (an "MPP Channel"), as necessary to set up infrastructure. You authorize the automatic movement of funds (cryptocurrency or otherwise) into and out of the MPP Channel for the sole purpose of paying for each individually requested AI-Generated Insights.

You acknowledge that any progress bars or countdown timers displayed within the Extension UI are time-based estimates only, and do not represent real-time server-side telemetry or determining completion states. Analysis may jump to completion if results arrive early or display a "taking longer than usual" notification if data processing exceeds initial estimates. Valory provides no guarantee regarding the exact speed or delivery time of any AI-Generated Insights.

⚠️ Warning: The Extension is experimental open-source software that is provided "as is" and "as available", without any representation or warranty of any kind, whether express or implied, including warranties of merchantability, fitness for particular purpose or non-infringement. Valory disclaims any warranty that the Extension is free of bugs, has been fully audited, or is secured against unauthorized access, hacks, or cyberattacks. If You choose to use the Extension, You do so at your own risk. To the maximum extent permitted by law, and except where mandatory consumer protections apply, Valory and its Affiliates shall not be liable and responsible for any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to damages for loss of profits, goodwill, use, data or other intangible loss (even if Valory has been advised of the possibility of such damages) delays, losses, or issues resulting from or arising out of the access, use, cessation or interruption of use of the Extension, related agents, Third-Party Integrations, underlying technologies, from the Agent, integrated APIs, unauthorized access to your device, nor for paying any costs/expenses related to the same, any errors or inaccuracies in AI-Generated Insights, any loss of funds due to smart contract vulnerabilities or blockchain network failures, any market losses incurred through the use of the Agent, or any unauthorized access to your local device or browser storage. In no event shall Valory's and its Affiliates' aggregate liability arising out of or related to these Conditions exceed the greater of one hundred Swiss Francs (CHF 100) or the amount You paid to Valory (if any) in the six (6) months preceding the event of giving rise to the claim. Nothing in these Conditions excludes liability for damages caused by Valory's gross negligence or willful intent. This limitation of liability is a fundamental element of the basis of the agreement between You and Valory.

Indemnification: You agree to hold harmless and indemnify Valory, and its Affiliates, directors, officers, employees, and agents from any and all third-party claims, damages, obligations, losses, liabilities, costs, debts, and/or expenses (including those brought by or in relation to Third-Party Service Provider) arising from your use of the Extension, your violation of any third-party services/rights, your violation of any applicable law, or your violation of these Pearl Mini Terms.

Data Controller and Processor Roles

Under applicable data privacy laws, the roles and retention schedules for data processing are defined as follows:

To facilitate the Extension's core functionality (including technical infrastructure, financial operations, cross-chain integration, or geoblocking), Valory integrates with independent Third-Party Service Providers, some of which are listed below. By using the Extension, you acknowledge that your data may be processed by these providers and their sub-processors, in accordance with their respective terms of use and privacy policies. Valory does not control and is not responsible for their specific data processing practices. You are encouraged to review their respective terms of use and privacy policies (some of which are listed below) to identify their scope, specific sub-processors, and understand their independent data collection, usage and retention policies:

• Privy (Horkos, Inc) - handles wallet management in accordance with their Terms of Use and Privacy Policy. Users are solely responsible for their user entropy and credentials. Privy processes data including, but not limited to, your email, authentication data, and IP address to facilitate wallet management and security.
• Polygon - is a blockchain network that provides a platform for fast, low-cost transactions, in accordance with their Terms of Use and Privacy Policy. In terms of the Extension, it processes data including, but not limited to, your public wallet address, transaction amounts, and cryptographic signatures are broadcast publicly on the Polygon network.
• Tempo - is a specialized network designed to facilitate a Machine Payment Protocol (MPP), in accordance with their Terms of Use and Privacy Policy. In the context of the Extension, it acts as the payment layer enabling your Agent to manage and redeem payment vouchers to cover the costs of its own operations. Tempo processes data including, but not limited to, your public wallet address and MPP voucher data.
• Candide - is a technology provider that specializes in account abstraction and smart contract wallet infrastructure, as per their Terms of Use and Privacy Policy. In the context of the Extension it processes data including, but not limited to, your public wallet address and bundled transaction signatures.
• Across - is a cross-chain bridge protocol that enables the transfer of digital assets between different blockchain networks, in accordance with their Terms of use and Privacy Policy. In the context of the Extension, it is used to move user's funds from one network to the network where the trading occurs (Polygon) and it processes data, including but not limited to, your public wallet address, source network, destination network, and the transferred asset amounts.
• Country - is an IP geolocation open-source service. In the context of the Extension, it determines a user's geographical location to enforce Valory's jurisdictional restrictions and geoblocking policies; it processes data, including but not limited to, your IP address to facilitate this verification.
• Ipapi - is an IP geolocation API, which provides services in accordance with their Terms of Use and Privacy Policy. In the context of the Extension, it acts as a secondary, fallback geolocation service to enforce jurisdictional restrictions if Country (see above) is not available; it processes data, including but not limited to, your IP address.

You specifically acknowledge that the "Fund your Account" flow utilizes Privy and other third-party onramp providers used by Privy. By authenticating and initiating a funding transaction, You understand that this action constitutes an explicit opt-in to trigger the Extension to execute automated sequences on your behalf, including the creation of an Agent and related setup including wallets and the swapping or bridging of assets across networks to facilitate trading.

You represent and warrant that You are at least 18 years of age, or the age of legal majority in your jurisdiction, to use the Extension. The Extension is not intended for, and may not be used by, minors.

You represent and warrant that your access to and use of the Extension, any Agent, and any Third-Party Integrations accessed through the Extension complies with all applicable laws, regulations, and third-party terms (including restrictions based on jurisdiction, sanctions, or residency) and that You are solely responsible for such compliance. You are strictly prohibited from using the Extension to engage in wash trading, front-running, or any form of market manipulation on Polymarket or any other protocol, or any activity that involves any automated behaviour that places an undue load on Valory and its infrastructure. Without limitation, You represent and warrant that:

1. You access and use the Extension only from jurisdictions where such use is lawful;
2. You access or use third-party functionality through the Extension only if You are eligible to do so under applicable Third-Party Integrations' terms (e.g. You are not a U.S. person where such status is restricted);
3. You are not located in, resident in, or acting on behalf of any person or entity subject to sanctions or restricted measures administered or enforced by OFAC, Switzerland, European Union, or the United Nations; and
4. You do not use VPNs, proxies, or other technical measures to circumvent geographic, sanctions-related, or eligibility restrictions imposed by Valory or Third-Party Integrations.

You may not use the Extension to violate laws, infringe IP, introduce malware, reverse-engineer the software, or interfere with any networks. Valory may suspend or terminate your access to the Extension (or specific functionality) at any time for violation of these Pearl Mini Terms, including for breach of eligibility, sanctions, or jurisdictional restrictions, without any obligation to compensate You or any third party for resulting losses. The Extension may include or rely on open-source libraries, which are subject to their respective licenses; You agree to comply with such licenses, and Valory makes no warranties and assumes no liability regarding such third-party open-source components.

You are strictly prohibited from using the Extension for any unauthorized or harmful activities, including but not limited to cryptocurrency mining, facilitating gambling, or circumventing paywalls. Valory may, in its sole discretion, modify, suspend, discontinue, or terminate access to the Extension or any feature thereof at any time, with or without notice, and without liability to You.

Valory may update these Pearl Mini Terms from time to time to reflect changes in the product or legal requirements. Updates will be effective when posted on the Pearl Mini Site or within the Extension. For material changes that significantly alter your rights or obligation, Valory will provide reasonable advance notice (such as via a notification within the Extension). Continued use of the Extension after such updates or notices constitutes acceptance of the revised terms. If You do not agree to the Conditions your sole remedy is to discontinue your use of the Extension.

These Pearl Mini Terms are governed by and constructed in accordance with the laws of Switzerland, and any disputes shall be resolved in accordance with the dispute resolution provisions of the Valory Terms. The venue for all disputes shall be the courts of Zug, Switzerland. You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You expressly waive any right to file a class action or seek relief on a class basis. You agree that any claim or cause of action arising out of or related to use of the Extension or these Pearl Mini Terms must be filed within one (1) year after such claim or cause of action arose, or it shall be forever barred, regardless of any statute or law to the contrary.

If any provision of these Pearl Mini Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
